These Terms of Use (the "Terms") constitute a legally binding agreement between you ("You" or the "User") and Manus Protocol ("we," "us," or "our"). By accessing, browsing, or using the website, interface, or decentralized applications provided by Manus Protocol (collectively, the "Platform"), and specifically by connecting your digital wallet to the Platform, you expressly acknowledge that you have read, understood, and agreed to be bound by all the terms and conditions contained herein.
By accessing the Platform, you represent and warrant that you are of legal age in your jurisdiction and have the full right, power, and authority to enter into this agreement. You further represent that you are not a citizen or resident of any jurisdiction where the use of the Platform is prohibited by law. If you do not agree to these Terms, or if you lack the capacity to enter into this agreement, you must immediately cease all access to and use of the Platform.
Manus Protocol provides a web-based user interface (the "Interface") that acts solely as a visual gateway to facilitate your interaction with decentralized smart contracts (the "Protocol") deployed on the public blockchain. You acknowledge and agree that the Interface is distinct and separate from the Protocol. The Protocol consists of open-source, immutable smart contract code running on a public blockchain network. We do not own, control, operate, or maintain the underlying Protocol. Once a transaction is submitted to the Protocol via the Interface, we cannot upgrade, pause, reverse, or modify the transaction.
The Platform operates on a strictly non-custodial basis. At no point do we have possession, custody, or control over your digital assets, private keys, or wallet seed phrases. You retain full and exclusive control of your assets at all times. We are not an agent, custodian, or fiduciary for you or your assets. Furthermore, any content, data, or information provided on the Platform is for informational purposes only and does not constitute investment, financial, trading, or legal advice. You are solely responsible for conducting your own independent due diligence before engaging in any transaction.
By utilizing the Platform, you explicitly understand and assume all risks associated with blockchain technology. You acknowledge that digital assets are subject to extreme price volatility and liquidity risks; the value of your assets may fluctuate significantly, and you may lose the entire value of your principal. You further accept that blockchain networks and smart contracts may contain inherent software bugs, vulnerabilities, or face network congestion, and we are not liable for any losses resulting from technical failures, including but not limited to 51% attacks, forks, or replay attacks.
You are solely responsible for safeguarding your private keys and seed phrases. If you lose access to your wallet or if your keys are stolen, Manus Protocol has no ability to recover your funds or access your account. Additionally, all transactions on the blockchain require the payment of "Gas" fees. These fees are non-refundable, fluctuate based on network demand, and are outside our control. You acknowledge that failed transactions may still incur Gas fees.
It is your sole responsibility to determine whether, and to what extent, any taxes apply to any transactions you conduct through the Platform. You are solely responsible for withholding, collecting, reporting, and remitting the correct amounts of taxes to the appropriate tax authorities. Manus Protocol is not responsible for determining, withholding, collecting, or reporting any taxes for any user.
You agree that you will not use the Platform for any purpose that is unlawful or prohibited by these Terms. Specifically, you agree not to engage in any activity that violates any applicable laws, statutes, or regulations, including but not limited to those regarding money laundering (AML), terrorist financing, or consumer protection. You shall not engage in any deceptive or manipulative trading activities, such as wash trading, front running, spoofing, pump-and-dump schemes, or other forms of market manipulation.
Furthermore, you agree not to use bots, spiders, crawlers, or other automated means to access the Platform; introduce viruses, trojan horses, worms, or other malicious code; or attempt to overburden or disrupt the Platform's infrastructure. You strictly represent that you are not located in, established in, or a resident of a country or territory that is subject to comprehensive sanctions and that you are not on any sanctions list maintained by the US (OFAC), UN, or EU.

THE PLATFORM, INCLUDING THE INTERFACE AND ANY RELATED SERVICES, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MANUS PROTOCOL EXPRESSLY DISCLAIMS ALL WARRANTIES AND REPRESENTATIONS, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE SECURE, TIMELY, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO REPRESENTATION OR WARRANTY THAT USING THE PLATFORM WILL RESULT IN ANY PROFIT OR FINANCIAL GAIN. PAST PERFORMANCE IS NOT INDICATIVE OF FUTURE RESULTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MANUS PROTOCOL, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL) ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE PLATFORM.
This limitation applies specifically to damages arising from: (a) vulnerabilities, bugs, hacks, logic errors, or failures in the smart contract code or the underlying blockchain network; (b) errors solely attributable to the user, including forgotten passwords, lost private keys, or typos in transaction addresses; (c) unauthorized access by third parties, including hacking, phishing, brute-force attacks, or other security breaches; or (d) failure, malfunction, or latency of any third-party services, such as digital wallet providers, blockchain nodes, RPC endpoints, or oracle services.
You agree to indemnify, defend, and hold harmless Manus Protocol, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform, including, but not limited to, your interactions with the Protocol or any third-party links.
We reserve the right, in our sole discretion, to modify, suspend, or discontinue the Platform (or any part thereof) at any time without notice. We also reserve the right to modify these Terms at any time. Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes. We may block or terminate your access to the Interface if we determine, in our sole discretion, that you have violated these Terms or applicable laws.
